Welcome to Void Labs. These Terms of Service govern your use of the services provided by Void Labs, LLC (“Void Labs,” “we,” “us,” or “our”). By engaging with Void Labs and utilizing our services, you (“Client” or “you”) agree to be bound by these Terms.

1. Acceptance of Terms

By accessing our website or engaging our consulting services, you agree to these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Provided

Void Labs specializes in providing web development and AI consulting services, focusing on LLMs (Large Language Models), SDK development, and JavaScript/TypeScript ecosystems. Our services may include, but are not limited to:

  • Web Development and Design
  • AI Consulting and LLM Integration
  • SDK Authoring and Custom Development
  • JavaScript/TypeScript-based Solutions and Architecture Consulting

3. Engagement of Services

Project Scope and Agreement: Each project will begin with a formal agreement detailing the project’s scope, deliverables, timeline, fees, and payment terms. Any modifications to the agreed scope must be documented and may result in additional charges.

Client Responsibilities: You agree to provide all necessary information, resources, and support required for Void Labs to complete the project in a timely manner. Failure to provide these resources may impact timelines and project outcomes.

4. Fees and Payment Terms

Service Fees: Fees for services will be outlined in each individual service agreement. All fees are in [USD/EUR] and are exclusive of taxes, which will be invoiced where applicable.

Payment Schedule: Payments are typically made on a [monthly/quarterly] basis or per milestone as defined in the agreement.

Late Payments: Late payments may incur interest at the rate of [1.5%] per month or the maximum rate permitted by law, whichever is lower.

5. Intellectual Property

Ownership of Work Product: Upon full payment, the Client will hold ownership of any deliverables specifically created for the project unless otherwise agreed. Void Labs retains ownership of its pre-existing materials, tools, methodologies, and intellectual property used in connection with the services provided.

Limited License: Void Labs grants the Client a limited, non-exclusive, non-transferable license to use any pre-existing intellectual property incorporated into the deliverables strictly for internal business purposes.

6. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary or sensitive information exchanged during the course of the engagement, except where disclosure is required by law or with prior written consent. This confidentiality obligation will survive the termination of services.

7. Warranties and Disclaimers

Services Warranty: Void Labs will use commercially reasonable efforts to perform the services in a professional and workmanlike manner. However, we do not warrant that our services will be error-free or meet specific client expectations outside the agreed scope.

Disclaimer: All services are provided "AS IS" and Void Labs disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

Void Labs shall not be liable for any indirect, incidental, consequential, special, or exemplary damages arising from or relating to this agreement. Our total liability under this agreement will not exceed the amount paid by the Client for the specific services that gave rise to the claim.

9. Termination

Termination by Void Labs: Void Labs reserves the right to terminate services if the Client breaches any terms of this agreement or engages in unlawful activities.

Termination by Client: The Client may terminate services at any time with a [30-day] written notice. Upon termination, Void Labs will invoice for any services rendered up to the termination date.

10. Dispute Resolution

In the event of any dispute arising out of or relating to these Terms, the parties agree to first attempt resolution through negotiation in good faith. If resolution cannot be reached, disputes may be settled in the courts of the district court.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Wyoming, USA.

12. Amendments

Void Labs reserves the right to amend these Terms of Service at any time. Any changes will be posted on our website, and continued use of our services will be considered acceptance of those changes.
